These terms govern your access to and use of Soffit Invoice, provided by LA Octa Tech Labs ("Soffit," "we," "us"). By creating an account or using the application, you agree to these terms. If you're using Soffit on behalf of an organization, you're agreeing on its behalf and confirming you have the authority to do so.

1. Acceptance of terms

By accessing or using Soffit Invoice — the desktop application, web site, or any connected API — you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

2. The service

Soffit Invoice reads invoices and purchase orders from connected email, messaging, and chat services, extracts data using an AI model, checks invoices against vendor history for anomalies, and syncs verified records to a connected ERP or accounting system. Features, integrations, and pricing may change over time, and we'll make reasonable efforts to notify you of material changes.

3. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract to use Soffit Invoice. You're responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use.

4. Connected third-party services

Soffit integrates with services such as Gmail, Google Drive, Slack, Outlook, WhatsApp Business, and AI model providers including OpenAI, Anthropic, Google Gemini, and DeepSeek. Your use of those services remains subject to their own terms. We are not responsible for the availability, accuracy, or conduct of third-party services, and connecting them is optional and at your discretion. If you supply your own API key for an AI provider, you're responsible for that account and any charges it incurs.

5. Acceptable use

You agree not to:

  • Use Soffit Invoice to process documents you don't have the right to access or share.
  • Attempt to reverse-engineer, disrupt, or gain unauthorized access to the service or its underlying infrastructure.
  • Use the service to violate any applicable law, including tax, anti-fraud, or data-protection law.
  • Upload malicious code or attempt to interfere with other users' data.

6. The fraud engine and AI processing

The fraud engine and AI extraction features are decision-support tools, not a guarantee. They are designed to flag likely anomalies — such as bank-detail changes, duplicate invoices, or unusual volume — for human review, and to reduce manual data entry. They can produce false positives and false negatives. You remain responsible for reviewing flagged items and for your organization's payment decisions; Soffit Invoice does not release funds or approve payments on its own.

7. Your content

You retain all rights to the invoices, purchase orders, vendor data, and other content you upload or connect ("your content"). You grant us a limited license to process your content solely to provide the service described in these terms and our Privacy Policy. We claim no ownership over your content.

8. Fees and payment

Certain features of Soffit Invoice may require a paid subscription. Fees, billing cycles, and any applicable taxes will be presented to you before you're charged. Unless stated otherwise, fees are non-refundable. We may change pricing with advance notice for future billing periods.

9. Suspension and termination

You may stop using Soffit Invoice and close your account at any time. We may suspend or terminate your access if you violate these terms, if required by law, or to protect the security or integrity of the service. On termination, we'll handle your data as described in our Privacy Policy, including any retention required for financial record-keeping.

10. Disclaimers

Soffit Invoice is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI-extracted data will always be accurate.

11. Limitation of liability

To the maximum extent permitted by law, LA Octa Tech Labs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business arising from your use of the service. Our total liability for any claim relating to Soffit Invoice will not exceed the amount you paid us in the twelve months before the claim arose.

12. Governing law

These terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles. Any dispute arising from these terms or your use of Soffit Invoice will be subject to the exclusive jurisdiction of the courts of Kenya.

13. Changes to these terms

We may update these terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you directly. Continuing to use Soffit Invoice after changes take effect means you accept the revised terms.
